Introduction

These Terms & Conditions (“Terms”) constitute a legally binding agreement between ZiroOne (“Company”, “we”, “our”, or “us”) and the subscribing organization (“Client” or “Organization”) and its authorized users (“Users”) governing access to and use of the ZiroOne Enterprise Resource Planning (“ERP”) platform, including all associated modules, applications, integrations, services, support, and related documentation (collectively, the “Services”). By accessing, registering for, or using the Services, the Client and its Users acknowledge that they have read, understood, and agree to be bound by these Terms.

Scope of Services

ZiroOne provides a cloud-based or hosted ERP system designed to support organizational management, including but not limited to human resource management, payroll processing, provident fund administration, asset management, financial reporting, loan tracking, attendance monitoring, compliance reporting, and other business functions. The Services may evolve over time, and ZiroOne reserves the right to modify, enhance, suspend, or discontinue certain features or modules, provided that such changes do not materially reduce the core functionality contracted by the Client without reasonable notice.

Account Registration & Access Control

    Access to the Services is restricted to authorized Users designated by the Client. The Client is solely responsible for:
  • Ensuring the accuracy of registration information
  • Maintaining the confidentiality of login credentials
  • Managing user permissions and access rights
  • Promptly disabling access for former employees or unauthorized individuals
  • Users must not share credentials or allow unauthorized third parties to access the Platform. ZiroOne reserves the right to suspend accounts where misuse, unauthorized access, or security risks are identified.

Acceptable Use Policy

    The Client and Users agree to use the Services strictly for lawful and legitimate business purposes. The following activities are strictly prohibited:
  • Unauthorized access to systems, servers, or databases
  • ttempting to bypass security controls
  • Reverse engineering, decompiling, or modifying the software
  • Introducing malware, viruses, or malicious code
  • Using the Platform for unlawful, fraudulent, or deceptive purposes
  • Interfering with system performance or service availability
  • Violation of this section may result in immediate suspension or termination of Services without prior notice.

Intellectual Property Rights

    All intellectual property rights, including but not limited to software code, algorithms, databases, system architecture, designs, trademarks, service marks, logos, documentation, and proprietary materials associated with the Services, are and shall remain the exclusive property of ZiroOne. The Client is granted a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for internal business purposes during the subscription period. No rights are granted to reproduce, distribute, sublicense, modify, or create derivative works of the Platform without prior written consent from ZiroOne.

Client Data & Ownership

All data entered, uploaded, or generated within the Platform by the Client remains the property of the Client. ZiroOne shall not claim ownership over Client data and shall process such data strictly in accordance with its Privacy Policy and applicable data protection laws. The Client represents and warrants that it has all necessary rights and permissions to upload and process such data through the Platform.

Fees, Billing & Payment Terms

Use of the Services is subject to subscription fees or service charges as specified in a separate commercial agreement or invoice. The Client agrees to: • Pay all applicable fees on time • Bear applicable taxes or statutory charges • Comply with agreed billing cycles Failure to pay fees within the agreed timeframe may result in suspension or restriction of Services until payment obligations are fulfilled. Custom development, third-party integrations, feature enhancements, training, or consulting services may incur additional charges subject to written agreement.

Confidentiality Obligations

Each party agrees to maintain the confidentiality of proprietary or sensitive information disclosed during the course of service. Confidential information shall not be disclosed to third parties without prior written consent, except where required by law or regulatory authorities. Confidentiality obligations shall survive termination of this agreement.

Service Availability & Maintenance

ZiroOne will use commercially reasonable efforts to maintain system uptime and performance. However, the Services may be temporarily unavailable due to: • Scheduled maintenance • Emergency security updates • Infrastructure upgrades • Technical issues beyond reasonable control ZiroOne shall not be liable for temporary interruptions, provided reasonable efforts are made to restore Services promptly.

Data Security & Compliance

ZiroOne implements technical and organizational security measures to protect data integrity, confidentiality, and availability. However, the Client acknowledges that no digital system is entirely immune from risks. The Client is responsible for maintaining secure internal practices, including secure endpoint devices and proper access management.

Limitation of Liability

To the fullest extent permitted by applicable law, ZiroOne shall not be liable for: • Indirect, incidental, or consequential damages • Loss of profits, business opportunities, or revenue • Data loss caused by Client misuse or external factors ZiroOne’s total cumulative liability arising out of or related to the Services shall not exceed the total subscription fees paid by the Client in the preceding twelve (12) months. Nothing in these Terms excludes liability where such exclusion is prohibited by law.

Indemnification

The Client agrees to indemnify, defend, and hold harmless ZiroOne from any claims, damages, liabilities, losses, or expenses arising from: • Client’s misuse of the Services • Violation of applicable laws • Infringement of third-party rights through Client data

Suspension & Termination

ZiroOne may suspend or terminate access to the Services if: • The Client breaches these Terms • Payment obligations are not fulfilled • Fraudulent or unlawful activities are detected • Security threats are identified Upon termination, access to the Platform will cease in accordance with applicable agreements and data retention policies.

Amendments

ZiroOne reserves the right to update or modify these Terms at its discretion. Updated Terms will be published through official communication channels. Continued use of the Services after updates become effective constitutes acceptance of the revised Terms.

Force Majeure

ZiroOne shall not be liable for failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, governmental actions, cyber-attacks, internet outages, or infrastructure failures.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which ZiroOne operates. Any dispute arising from these Terms shall first be attempted to be resolved amicably. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts within the applicable jurisdiction.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any applicable service agreement and Privacy Policy, constitute the entire agreement between the parties concerning the Services and supersede all prior agreements or understandings.
